Please read these Terms of Use ("Terms") carefully before using the www.expressvideotranslation.com website (the "Service") operated by LingoFactory Language Technologies Inc. ("LingoFactory," "we," "us," or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

1. Definitions

• "Service" refers to the AI-powered video translation and transcription platform provided by LingoFactory via www.expressvideotranslation.com.

• "User," "You," "Your" refers to the individual or entity accessing or using the Service.

• "User Content" refers to all video files, audio files, text, data, information, and other materials that you upload, post, or otherwise provide to the Service for transcription, translation, or any other service.

• "Translated Output" refers to the transcripts, translated text, voice-overs, subtitles, and any other derived materials generated by the Service based on your User Content.

2. Services Provided

LingoFactory provides an AI-powered platform for the transcription and translation of video and audio content. Our services include, but are not limited to, generating transcripts, translating text, and providing voice-over and subtitling solutions. While our platform leverages advanced artificial intelligence, all translations are subject to quality assurance processes, which may include review by expert human linguists.

3. User Accounts

3.1 To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 You are responsible for safeguarding your password and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3.3 You must be at least 18 years of age to use the Service. If you are accessing or using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

3.4 We reserve the right to suspend or terminate accounts that engage in fraudulent activities, violate these Terms, or compromise system security.

3.5 You may not create multiple accounts for fraudulent activities or misuse our services, and any detected violations may result in the permanent suspension of access to our platform.

4. User Content and Rights

4.1 Your Responsibility for User Content. You are solely responsible for all User Content that you upload, post, or otherwise provide to the Service. LingoFactory does not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any User Content.

4.2 Representations and Warranties Regarding User Content. By uploading User Content to the Service, you represent and warrant that:

• (a) You are the sole and exclusive owner of all User Content, or you have all necessary rights, licenses, consents, and permissions to upload, process, and use the User Content for the purpose of receiving the services provided by LingoFactory, and to grant the licenses to LingoFactory as set forth in these Terms.
• (b) Your User Content, and LingoFactory's use of your User Content as contemplated by these Terms, does not and will not: (i) Infringe, misappropriate, or violate a third party's patent, copyright, trademark, trade secret, moral rights, or other intellectual property rights, or rights of publicity or privacy; (ii) Violate any applicable law, statute, ordinance, or regulation (including, without limitation, export control laws, privacy laws, and content restrictions imposed by third-party platforms such as YouTube, Vimeo, or social media sites); (iii) Be defamatory, obscene, pornographic, vulgar, or offensive; (iv) Promote discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group; (v) Be violent or threatening or promote violence or actions that are threatening to any person or entity; or (vi) Promote illegal or harmful activities or substances.
• (c) You have obtained all necessary consents, permissions, and releases from any persons appearing in your User Content or whose voices are captured in your User Content for the processing, transcription, and translation of such content by LingoFactory and its service providers, and for the subsequent use of the Translated Output by you.
• (d) Your User Content complies with any and all applicable terms of service or community guidelines of any third-party platform (e.g., YouTube, Vimeo, Facebook, TikTok) from which the User Content was obtained or on which it will be published.

4.3 License Grant to LingoFactory. By uploading User Content, you hereby grant to LingoFactory a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content (including its audio, video, and textual components) solely for the purposes of: (a) Providing the requested transcription and translation services to you; (b) Storing copies of the User Content, including the original video/audio files, generated transcripts, and Translated Output, for a reasonable period necessary for service delivery, troubleshooting, and customer support; and (c) Internal processing, research, and development, including but not limited to, training and improving LingoFactory's artificial intelligence models, algorithms, and translation technologies. You acknowledge that raw or identifiable data from your User Content may be used for internal quality improvement, subject to our Privacy Policy.

4.4 Prohibited Content and Activities. You agree not to upload, post, or transmit any User Content that: (a) Is illegal, fraudulent, or promotes illegal activities. (b) Contains viruses, malware, or any other harmful code. (c) Is hate speech, discriminatory, or incites violence. (d) Violates any intellectual property rights or privacy rights of any third party. (e) Is defamatory, obscene, or sexually explicit. (f) Is unsolicited or unauthorized advertising, promotional materials, or spam. LingoFactory reserves the right to remove any User Content that violates these Terms, or any applicable law, at its sole discretion, without notice or liability to you.

5. Confidentiality and Data Security

5.1 LingoFactory recognizes the critical importance of protecting the confidentiality and integrity of your User Content. We implement and maintain robust technical and organizational security measures designed to protect your information against unauthorized access, disclosure, alteration, or destruction.

5.2 Confidentiality of Translation Materials. All User Content submitted by you is treated as confidential. Such materials will only be accessed by authorized personnel, including our expert linguists and technical staff, strictly for the purpose of fulfilling your requested services and for internal research and development.

5.3 Limited Disclosure. LingoFactory does not share, sell, or distribute your User Content or Translated Output to third parties, except: (a) As strictly necessary to fulfill our service obligations to you (e.g., secure transmission to authorized sub-processors or internal linguists involved in your project, who are bound by confidentiality obligations); (b) When legally required, such as in response to a valid court order, subpoena, or government request; or (c) With your explicit consent.

5.4 Your Data Security Responsibilities. While LingoFactory employs industry-standard encryption and secure storage methods for document handling on our platform, you are solely responsible for ensuring your own secure data transmission practices when submitting User Content. This includes, but is not limited to, safeguarding your account credentials, using secure networks, and taking necessary precautions to protect your data prior to and after its transmission to our Service.

5.5 Privacy Policy. For comprehensive details on how we collect, use, store, protect, and process your personal data and User Content, please refer to our dedicated Privacy Policy. The Privacy Policy forms an integral part of these Terms.

6. Third-Party Links and Services

Our Service may contain links to third-party websites or services that are not owned or controlled by LingoFactory.

LingoFactory has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not endorse, guarantee, or make any representations regarding any third-party websites or services, or any information, software, or other products or materials found there, or any results that may be obtained from using them. You further acknowledge and agree that Ladon Technologies PBC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

7. Intellectual Property of Translated Output

7.1 Upon full payment for the services, you shall own all intellectual property rights in the specific Translated Output (transcripts, translated text, etc.) generated for your User Content.

7.2 You acknowledge that LingoFactory retains all intellectual property rights in its underlying software, algorithms, AI models, methodologies, and any other proprietary technology used to provide the services, regardless of any customization or improvement resulting from the processing of your User Content.

8. Billing, Payments, and Refunds

8.1 You agree to pay all fees and charges incurred in connection with your account, including applicable taxes, at the rates in effect when the charges were incurred.

8.2 All payments are non-refundable once services have been rendered, except as expressly provided in these Terms or as required by law.

8.3 LingoFactory reserves the right to change its pricing at any time. Such changes will be communicated to you in advance for future services.

8.4 Payments must be made in advance unless explicitly agreed otherwise. All fees are displayed in U.S. dollars (USD) unless stated otherwise. Payment can be made via approved methods such as credit card, bank transfer, or digital payment platforms.

8.5 Refunds will only be considered if a cancellation is requested before translation work begins. Once translation work has commenced, fees are non-refundable except in cases where a verifiable quality issue is present.

8.6 LingoFactory reserves the right to assess refund claims on a case-by-case basis. Refunds for subscription-based services must be requested within the first 14 days of use, and any refunds beyond this period are at the discretion of LingoFactory.

8.7 Clients whose accounts are terminated for violations may not be eligible for refunds.

8.8 Late payments may result in service interruptions, and accounts with unpaid invoices beyond 30 days may be subject to interest charges.

9. Disclaimer of Warranties

LingoFactory strives for accuracy, but translations are subject to human and contextual interpretation. We do not guarantee 100% accuracy or legal validity of translated content.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LINGOFACTORY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LingoFactory makes no warranty that (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results that may be obtained from the use of the Service will be accurate or reliable; or (d) the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations.

10. Limitation of Liability

LingoFactory strives for accuracy, but translations are subject to human and contextual interpretation.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LINGOFACTORY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM (A) THE USE OF, OR INABILITY TO USE, THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF LingoFactory exceed the amount paid by you to LingoFactory for the Services in the three (03) months immediately preceding the event giving rise to the claim.

LingoFactory is not responsible for errors, misinterpretations, or losses arising from reliance on translations. We shall not be liable for direct, indirect, incidental, or consequential damages related to service use or delays in service due to unforeseen circumstances such as technical failures or force majeure events. We recommend that users verify translated materials before relying on them for legal, medical, or contractual purposes.

11. Indemnification

You agree to defend, indemnify, and hold harmless LingoFactory, its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees on a full indemnity basis) arising from: (a) Your use of and access to the Service; (b) Your breach of any term of these Terms, including but not limited to your representations and warranties regarding User Content; (c) Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) Any claim that your User Content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Service.

12. Suspension and Termination

12.1 LingoFactory's Right to Terminate. LingoFactory may terminate or suspend your access to all or part of the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Without limiting the foregoing, LingoFactory may terminate or suspend your access if:

(a) You fail to make any payment due under these Terms.

(b) You violate any of the representations and warranties in Section 4.2.

(c) Suspected Unlawful or Fraudulent Activities: LingoFactory has reasonable grounds to suspect that you have engaged, are engaging, or are likely to engage in any fraudulent, unlawful, or illegal activities, or any activities that may expose LingoFactory or its affiliates to legal, regulatory, or reputational risks, including but not limited to money laundering, terrorism financing, or proliferation financing.

(d) Client Abandonment and Uncontactable Status: You are deemed to have abandoned your account or become 'Uncontactable'. For the purposes of this Agreement, you shall be deemed 'Uncontactable' if LingoFactory is unable to establish contact with you or receive a response from you through all registered contact methods (including but not limited to registered email address and physical mailing address) for a continuous period of thirty (30) days after LingoFactory has made at least two (2) reasonable attempts to contact you.

(e) LingoFactory is required to do so by law or by a court order.

12.2 Effect of Termination. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. For the avoidance of doubt, no refunds shall be provided for any fees prepaid by you if this Agreement is terminated by LingoFactory due to your breach or actions as described in Section 10.1.

13. No Legal Advice

The services provided by LingoFactory are for linguistic translation and transcription purposes only. They do not constitute legal, financial, medical, or any other professional advice. You are solely responsible for ensuring that your User Content and its Translated Output comply with all applicable laws and regulations in your jurisdiction.

14. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the USA, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be submitted to the exclusive jurisdiction of the courts of the USA.

15. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

16. Miscellaneous

16.1 Entire Agreement: These Terms constitute the entire agreement between you and LingoFactory regarding our Service and supersede and replace any prior agreements, oral or otherwise, regarding the Service.

16.2 Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

16.3 Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and LingoFactory's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without LingoFactory's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. LingoFactory may freely assign or transfer these Terms without restriction.
